1. Introduction
These Terms and Conditions (“Terms”) apply to your use of the Algenix website (algenix.co.za) and to any services provided by Algenix (“Algenix”, “we”, “us” or “our”). By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website.
2. Our services
Algenix provides ICT consulting services, including custom software development (web and mobile), IT project management, business analysis and process optimisation, infrastructure setup and IT support, security solutions including CCTV, biometric and access control systems, and software licensing.
Software licences we supply are subject to the licence terms of the relevant software vendor, which you agree to comply with. The specific scope, deliverables, timelines, fees and service levels for any engagement will be set out in a written proposal, statement of work (SOW) or service agreement. Where such an agreement conflicts with these Terms, the signed agreement prevails.
3. Quotations, fees and payment
- Quotations are valid for 30 days unless otherwise stated.
- Fees are quoted in South African Rand (ZAR) and exclude VAT unless stated otherwise.
- Invoices are payable within the period stated on the invoice or in your agreement.
- We may suspend services where undisputed amounts remain unpaid after written notice.
4. Client responsibilities
To enable us to deliver effectively, you agree to provide timely access to the people, information, systems and premises reasonably required; ensure that information you provide is accurate; maintain appropriate licences for third-party software you ask us to work with; and back up your data before any infrastructure or migration work, unless backup is part of our agreed scope.
5. Intellectual property
All content on this website, including the Algenix name, logo, text, graphics and design, is owned by or licensed to Algenix and may not be reproduced without our written consent.
Ownership of software, documentation and other deliverables created for you will be governed by your service agreement. Unless agreed otherwise, ownership transfers to you on full payment, while Algenix retains ownership of its pre-existing tools, frameworks, know-how and reusable components, which we license to you to the extent needed to use the deliverables.
6. Confidentiality
Each party will keep the other party’s confidential information secure and use it only for the purposes of the engagement. This obligation continues after the engagement ends, except for information that is publicly available or must be disclosed by law.
7. Data protection
We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and our Privacy Policy. Where we process personal information on your behalf as an operator, we will do so only on your documented instructions and with appropriate security safeguards.
8. Warranties
We will perform our services with reasonable skill, care and diligence, in line with recognised industry practice. Except as expressly stated in your agreement, and to the extent permitted by law, all other warranties are excluded. We do not guarantee that any system will be entirely error-free, uninterrupted or immune from every security threat.
9. Limitation of liability
To the extent permitted by law, Algenix is not liable for any indirect, special or consequential loss, including loss of profit, revenue, data or business opportunity. Our total liability arising from any engagement is limited to the fees paid to us for the services giving rise to the claim during the preceding 12 months, unless your agreement states otherwise. Nothing in these Terms limits liability that cannot lawfully be limited, including under the Consumer Protection Act 68 of 2008 where it applies.
10. Website use
You may use this website for lawful purposes only and in line with our Acceptable Use Policy. The website is provided for general information; please see our Disclaimer.
11. Termination
Either party may terminate an engagement as set out in the relevant agreement. On termination, you will pay for services delivered up to the termination date, and each party will return or securely destroy the other party’s confidential information.
12. Electronic communications
In line with the Electronic Communications and Transactions Act 25 of 2002 (ECTA), you agree that agreements, notices and other communications we send electronically satisfy any legal requirement that they be in writing.
13. Governing law
These Terms are governed by the laws of the Republic of South Africa. Any dispute will first be referred to good-faith negotiation between senior representatives, failing which either party may approach a competent South African court.
14. Changes and contact
We may update these Terms from time to time. The latest version will always be published on this page. For questions, contact us at info@algenix.co.za.
